Eastman Chemical Company (including its subsidiaries, “Eastman”) is committed to minimizing the potential for diversion of Eastman’s acetate tow product into the production of counterfeit, contraband and/or illicit cigarette products and to minimize the potential for other wrongful acts in the chain of commerce.

Eastman is an ethical company that obeys applicable laws and regulations. Eastman is committed to complying with all applicable export, import and trade compliance laws and regulations in the countries in which Eastman does business. Eastman likewise expects its customers to obey applicable laws and regulations. Eastman has developed broad standards to which its business partners must adhere that are found within the Eastman Third Party Code of Conduct, Doing Business with Eastman.

In accordance with Eastman policy, it is necessary to ensure that Eastman’s customers, end-users and/or Third-Party Intermediaries (TPI) understand and abide to the sanctions with Russia, Belarus and the Luhansk and Donetsk areas of the Ukraine. This applies to both direct customers and distributors.

Under these rules, you are restricted from trading with parties that fall under the U.S. and EU list of embargoed countries, with any party on the U.S. Government or the EU’s denied party list, or for a use which aforementioned laws and regulations forbid. Please note that these lists are updated frequently. We advise and request that you always check the latest version of these lists before doing any business under control of the Export Control Requirements. We would like to reiterate that no Eastman products can be sold directly or indirectly to any party on any of these lists. Any breach of this prohibition will lead to immediate termination of any agreement between you and Eastman. For compliance with applicable laws and regulations, Eastman has also implemented a Know Your Customer (herein “KYC”) policy. We seek your support and cooperation, as our customer, in the execution of this policy. Hence, please confirm the following by initialing each of the statements below in the place indicated. We acknowledge that Eastman has a compliance and Know Your Customer policy (to include customer due diligence checks). We certify that the materials purchased from Eastman will not be used to produce counterfeits of cigarette brands or diverted into illicit or contraband cigarettes.

We acknowledge Eastman’s expectation that Company will comply with applicable laws and regulations and that Company will not re-sell Eastman products without prior disclosure to Eastman.

We acknowledge that the goods purchased from Eastman may be subject to imposed sanctions, and certify that the goods intended for export Eastman legal entities to Russia, Belarus and the Luhansk and Donetsk areas of the Ukraine, and Crimea will not be exported, re-exported, resold or transferred in violation of any restriction imposed by COUNCIL REGULATION (EU) 2022/328 of 25 February 2022 amending Regulation (EU) No 833/2014 concerning restrictive measures in view of Russia's actions destabilizing the situation in Ukraine.

We acknowledge Eastman’s expectation for Buyers to maintain documentation of compliance with applicable laws and regulations including any licensing or taxation or other revenue requirements applicable to a manufacturer and seller of filter rods or cigarettes.

We acknowledge that it is Eastman's policy to refuse supply of products to any Buyer (whether acting for itself or as an brokers/contract representatives/distributors) who has been adjudicated in counterfeiting cigarette brands.

We acknowledge and agree that in the event Eastman determines in its sole discretion that we have failed to comply with Eastman’s KYC policy and/or we fail to timely and/or fully respond to any due diligence inquiries, Eastman may immediately suspend any pending shipments and/or terminate any supply contract with us in accordance with the terms and conditions of the contract relating to termination for cause with no further liability whatsoever.

Company named above certifies, based upon Company’s due diligence inquiry, that Company is selling only to legitimate customers with legitimate needs, and Company is lawfully minimizing potential for diversion of Eastman products into counterfeit, contraband and illicit cigarettes.
The undersigned accepts the responsibility to impose all trade control restrictions set out in this document towards a third party and commits to perform a due diligence check, should the goods purchased from Eastman be re-sold or otherwise transferred to a third party.
Company’s due diligence documentation is available for Eastman’s review upon Eastman’s reasonable request.
